Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the SBA Toolbox application or accessing sbatoolkit.com (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Blended Customs LLC ("we," "us," or "our").

2. Description of Service

SBA Toolbox is a desktop application and web platform designed for small businesses. It provides tools for product mockup generation, Shopify store management, production tracking, order management, and related business operations.

3. Accounts and Licensing

• You must provide accurate and complete registration information.
• Each license key is tied to a specific machine and subscription tier.
• You are responsible for maintaining the confidentiality of your license key and account credentials.
• Sharing, redistributing, or reselling license keys is prohibited.
• Seat user accounts are managed by the license holder (admin) and are subject to the admin's subscription tier limits.
• We reserve the right to revoke licenses that violate these terms.

4. Subscription and Payments

• Paid plans are billed monthly through PayPal on a recurring basis.
• Free trial periods, if offered, are specified at the time of signup.
• You may cancel your subscription at any time. Access continues until the end of the current billing period.
• We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honored at the current rate until the next renewal cycle after the notice period.
• Refunds are handled on a case-by-case basis. Contact sales@sbatoolkit.com for refund requests.

5. Shopify Integration

Our Service integrates with Shopify to provide store management features. By connecting your Shopify store, you:

• Authorize us to access your Shopify store data (products, orders, customers, inventory) via the Shopify API using the permissions you grant during installation.
• Acknowledge that we act as a data processor on your behalf for Shopify store data.
• Agree that you are responsible for compliance with Shopify's Terms of Service and applicable laws regarding customer data.
• May disconnect your store at any time, which will deactivate the stored access token.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the application
• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Circumvent license validation or machine-binding mechanisms
• Use automated tools to scrape or overload the Service
• Redistribute, sublicense, or resell any part of the Service

7. Intellectual Property

The Service, including its code, design, features, and documentation, is the intellectual property of Blended Customs LLC. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business operations. You retain ownership of all content you create or upload through the Service (mockups, product data, designs, etc.).

8. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLENDED CUSTOMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Blended Customs LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your license to use the application is revoked. Sections regarding intellectual property, limitation of liability, and indemnification survive termination.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the application. Continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State in which Blended Customs LLC is registered, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.
